SOLOWIN HOLDINGS is a holding company incorporated under the laws of the Cayman Islands on July 23, 2021. We conduct our business primarily through our wholly owned subsidiaries, Solomon JFZ (Asia) Holdings Limited (“Solomon JFZ”) and Solomon Private Wealth Limited (“Solomon Wealth”), each a limited liability corporation incorporated in Hong Kong.
We are a leading global financial services firm operating in both traditional and Web3 industries. Since 2016, we have established a unique, full-spectrum ecosystem that bridges traditional and decentralized finance. Wealth Management Services
Our wealth management division is dedicated to empowering investors with a comprehensive suite of services designed to manage, retain, and grow wealth with confidence. Our offerings under this segment include two main categories: “brokerage services” and “integrated investment solutions.” This Wealth Management Services segment has evolved from the merger of the former “Securities Related Services” and “Investment Advisory Services” segments, along with the addition of advisory services for high-net-worth individuals and institutional investors such as family offices and trusts.
Asset Management Service
Our asset management services are crafted to meet the diverse investment goals of our clients through a broad range of asset classes and investment strategies. Under this segment, we offer investment fund products managed by professional portfolio managers, generating both management and performance-based income. Additionally, we provide managed account services for individual and institutional clients, managing their assets based on their investment objectives and delivering tailored investment strategies. We have also launched external asset management services where we partner with well-established financial institutions such as China Assets Management (Hong Kong), granting our clients access to their select fund allocations, which allow us to earn distribution fees and reduced management fees offered by the issuer.
Corporate Finance Service
We are redefining corporate finance by offering underwriting, private placement and investment advisory solutions tailored to guide investors and corporations through complex financial landscapes, ensuring transactions are executed with strategic insight that meets today’s capital market’s needs. Our corporate finance services include capital raising, debt financing, secondary offerings and financial advisory services.
Virtual Assets Services
We provide secure and innovative solutions in the virtual asset space including virtual assets trading, virtual assets spot ETFs creation and redemption, security token offerings, and blockchain solutions such as real-world assets tokenization. Solomon JFZ had been approved by the HKSFC to provide virtual asset dealing services and advisory services, and we are at the forefront of offering cutting-edge Web3 solutions that cater to the needs of modern investors and businesses, leveraging blockchain for secure and innovative virtual asset solutions.
Ling Ngai Lok, a co-founder of Solowin Holdings, has served as Chairman of the Board since July 2021 and was appointed Chief Executive Officer in March 2025, assuming overall responsibility for the Group's strategic direction and management.
Mr. Lok brings profound expertise in fund management, investment, and financing. Under his leadership, the company achieved a remarkable 176% revenue growth during the 2021-2022 fiscal year and successfully completed a landmark initial public offering on Nasdaq in 2023.
Lili Liu joined Solowin Holdings in 2021, initially serving as Chief Financial Officer of Solomon JFZ(Asia)Holdings Limited. She served as Chief Financial Officer in June 2022 and additionally assumed the role of Board Secretary in December 2023, with overall responsibility for the Group's financial strategy, reporting, and capital operations.
Prior to joining Solowin, Ms. Liu served as Risk Manager and Internal Audit Manager at a private equity firm, and as Chief Financial Officer at a large construction group for over five years, accumulating extensive comprehensive management experience.
Ms. Liu holds two master's degrees: a Master of Economics from the University of International Business and Economics (2007) and a Master of Financial Engineering from City University of Hong Kong (2021). She is also a CFA charterholder.
Xue Yao joined Solomon JFZ as a Director in October 2022. She assumed the role of Managing Director at Solomon Private Wealth Management in August 2024, and was appointed as a Director of Solowin Holdings in March 2025, actively participating in corporate strategic decision-making.
With over 15 years of experience in investment banking, corporate finance, and private equity, Ms. Yao has developed deep expertise in the small-to-mid cap sector. Prior to joining Solowin, she served as Financial Director at Followme Technology, where she was responsible for financial management, operational supervision, and business planning.
Ms. Yao earned her Executive MBA from CEIBS in 2023.
Dr. Thomas Haokang Zhu is the Co-founder and Chief Executive Officer of AlloyX, a global digital assets platform, with deep expertise spanning traditional finance and blockchain technology.
Prior to founding AlloyX, Dr. Zhu served at Goldman Sachs (Asia), where he served as a representative for Hong Kong Securities and Futures Commission (SFC) regulated activities (Types 1, 2, and 4) and was appointed Executive Director of the Hong Kong Securities Department from 2019 to 2020. During his tenure, he executed over 100 initial public offerings and financing deals.
In 2024, Dr. Zhu served as Head of Digital Assets and Head of Family Office Business and Responsible Officer at China Asset Management (Hong Kong), where he spearheaded landmark initiatives including the launch of one of Asia's largest Bitcoin spot ETFs, one of the world's first Ethereum spot ETFs, and Asia's first SFC-approved compliant Real World Asset (RWA) product.
Dr. Zhu is also an active contributor to the industry ecosystem. He founded the Asia RWA Work Group, currently serves as the president of APAC Blockchain Policy Institute. Since September 2023, he has served as a member and vetting judge of the Entrepreneurship Committee Advisory Group and as a Web3 Incubation mentor at Hong Kong Cyberport.
Dr. Zhu was conferred a Doctorate in FinTech by The Hong Kong Polytechnic University in August 2025. He is a lead author of "RWA and Tokenization in Web3.0 Era" , published by Springer Nature.
Ms. Ho holds a Bachelor of Business Administration in Applied Economics from Hong Kong Baptist University and a Master of Corporate Governance from The Open University of Hong Kong (now known as Hong Kong Metropolitan University). She is an affiliate member of both the Hong Kong Chartered Governance Institute (HKCGI) and The Chartered Governance Institute (CGI), and holds a practising certificate issued by HKCGI.
Ms. Ho has served as an Independent Non-executive Director of Solowin Holdings (Nasdaq: AXG) since September 2023. Since August 2012, she has been a Director of BMI Listed Corporate Services Limited, where she is responsible for overseeing the operations that provide company secretarial and administrative services to reputable listed groups. She possesses extensive experience in delivering a wide range of professional corporate services to Hong Kong and offshore commercial entities. Her expertise is particularly strong in the areas of governance advisory, corporate restructuring, corporate finance, and director professional development for listed companies, and she continues to provide professional advice on these matters in a consultancy capacity.
Mr. Chong is a fellow member of the Association of Chartered Certified Accountants and a member of the Malaysian Institute of Accountants. Mr. Chong holds a bachelor degree of management with honours from the University of Science, Malaysia. He has more than 20 years of experience in the accounting and finance area servicing private and publicly listed companies in Hong Kong and the Southern Asia region.
Mr. Chong serves as an Independent Non-executive Director of Solowin Holdings(Nasdaq:AXG) since September 2023.He also serves as independent non-executive director of China Beidahuang Industry Group Holdings Limited (000039.HK) and Sino Energy International Holdings Group Limited (01096.HK) from March 2021 to October 2022. And he was an executive director of Aurum Pacific (China) Group Limited (08148.HK) from October 2020 to April 2021.
Mr. Tam has over 20 years of experience in the financial industry in Hong Kong and has led over 50 projects in capital market transactions. He has led significant mid-size IPOs in Hong Kong such as Zijin Mining Group Ltd (02899.HK) and China Datang Corp Renewable Power Co Ltd (01798.HK).
Mr. Tam serves as an Independent Non-executive Director of Solowin Holdings(Nasdaq:AXG) since September 2023.Throughout his career, Mr. Tam has held various senior positions in the financial industry, including Vice President at CITIC Securities International Company Limited, Director at Essence International Securities (HK) Limited, and Vice President at China Everbright Securities (HK) Limited. Mr. Tam obtained Chartered Financial Analyst (CFA) designation in 2001. He is a member of both the CFA Institute and The Hong Kong Society of Financial Analysts. He earned his Bachelor of Science in Finance from City University of Hong Kong.
Professor Yang Wang currently serves as Vice-President (Institutional Advancement) and Chair Professor at The University of Hong Kong. As an internationally renowned scholar, he has published over 150 academic papers, with research spanning pure mathematics,blockchain technology and data science. Previously, Professor Wang joined The Hong Kong University of Science and Technology in 2014, where he held several key positions including Head of the Department of Mathematics, Dean of the School of Science, and Vice-President for the Institutional Advancement.
Professor Wang serves as an Independent Non-executive Director of Solowin Holdings(Nasdaq:AXG) since October 2025, he currently is also an Independent Non-executive Director of Xunfei Healthcare Technology Co., Ltd. (HKEX: 2506) and Antalpha Platform Holding Company (NASDAQ: ANTA). He earned his undergraduate degree in Mathematics from the University of Science and Technology of China and received his Ph.D. from Harvard University in 1990. As Chief Scientist of the Institute of Web3.0 Hong Kong, he plays a pivotal role in advancing the development of Hong Kong's Web3 technology ecosystem and promoting innovation in artificial intelligence education.
